SUMMER TRAINEE 2024

We offer, in addition to our continuous recruitment of associates to our firm, two students the possibility to spend four weeks with us to see what it is like to be a lawyer at our firm. Our summer trainee program will give you an introduction to business law as well as provide you with an insight into the daily life as a business lawyer.

HWF Advokater appoints Kristoffer Roos as new partner

Kristoffer has extensive experience working with commercial agreements and corporate law in different sectors with a particular focus on dispute resolution and Life Science. Kristoffer has worked as a lawyer with HWF Advokater since the start of the firm in 2018. He is a member of the Swedish Bar Association and has an LL.M. from Stockholm University and a master of law from Bond University, Australia. Kristoffer will take up his new position on 1 January 2023.

SOLELGROSSISTEN BECOMES PART OF AHLSELL SVERIGE

The Ahlsell group of companies has signed an agreement to acquire Solelgrossisten Sverige AB, a company dealing in solar energy, charging and energy storage. Since its establishment, Solelgrossisten has had a strong growth and today has approximately 50 employees. The company’s head office is located in Tomelilla, but the company also has offices in Malmö/Lund, Helsingborg, Gothenburg and Stockholm.

The closing of the transaction is intended to take place in the beginning of January 2023.

HWF Advokater acted as legal advisor to the majority owners of Solelgrossisten Sverige AB.

Axolot Solutions establishes a Norwegian Joint Venture company

Axolot Solutions has entered into a joint venture agreement with Tilapia AS and B-Enviro regarding the establishing of a Norwegian company, Axolot Solutions Norge AS, in which Axolot Solutions will be the majority shareholder. The newly established company will process the Norwegian market for industrial water purification and it has been estimated that the company’s operational activities will start in October 2022.

Axolot Solutions was advised by HWF Advokater in the project.

PYRAMID, PETRA AND GRAAL TO BE PART OF H&H GROUP

H&H Group has acquired the advertising agency Pyramid, the digital agency Petra and the brand agency Graal from Hemon i Helsingborg AB. The agency group will be part of the business area within H&H Group that focuses on data- and insight-driven digital communication and marketing.

The acquired agencies have an agency income of SEK 90 million and around 70 employees in offices in Helsingborg, Stockholm, Helsinki, Hamburg and Gdansk. The agencies have a unique combination of expertise in branding, communication and digital solutions.

The agencies joined H&H Group on June 1 and add value to the entire H&H Group and their customers through their unique B2B offering in several markets.

Volta Trucks enters into manufacturing agreement with Steyr Automotive

Volta Trucks has signed a manufacturing agreement with Steyr Automotive in Austria which will see production of the full-electric Volta Zero truck commence at the end of 2022. The partnership with Steyr Automotive, formerly MAN Truck & Bus Austria, forms a vital part of Volta Trucks’ recently announced Road-to-Zero Emissions strategy.

Volta Trucks was advised by HWF Advokater in the project.

ANOCCA AB CARRIES OUT A DIRECTED SHARE ISSUE

Anocca AB, a leader in unlocking the potential of T-cell immunotherapy to deliver transformative therapeutics for cancer, autoimmune disorders and infectious diseases, carries out a directed share issue of SEK 400 million to further advance the company’s industrialised cellular biology platform and progress its pipeline of TCR-T cellular therapies into Phase I/IIa clinical trials. The financing brings together a group of Nordic investors, with Swedbank Robur Ny Teknik, Ramsbury Invest and significant family offices, including those of Harald Mix and Robert Andreen, joining existing investors including Mellby Gård, Nidoco and co-founder Mikael Blomqvist via Michano. BEIJER TECH ACQUIRES 85.6 % OF THE SHARES IN KÄLLSTRÖM ENGINEERING SYSTEMS AB

Beijer Alma’s subsidiary Beijer Tech has signed an agreement to acquire 85.6 percent of the shares in Källström Engineering Systems AB. The acquisition is expected to be finalized during the third quarter of 2021. Following the transaction, the three former owners will remain as operating minority owners to further develop the business together with Beijer Tech.

Källström Engineering Systems AB designs and produces equipment for filling, mixing, and handling of corrosive liquids, primarily for the international battery industry. The company has a high degree of technical expertise with nearly 30 years of experience from the industry and a well-established brand with long-term customer relationships.

HEXAGON ACQUIRES INFOR’S EAM BUSINESS AND FORMS A BROADER STRATEGIC RELATIONSHIP WITH INFOR AND KOCH

Hexagon AB, a global leader in digital reality solutions listed on Nasdaq Stockholm, has entered into an agreement to acquire Infor’s global EAM (enterprise asset management) business, for approximately 2,750 MUSD, of which 800 MUSD in cash and the remaining part through payment with 132.6 million series B shares in Hexagon AB. The terms of the agreement include establishing a deeper commercial relationship between Hexagon and Infor as well as Hexagon and Koch Equity Development, both subsidiaries of Koch Industries, Inc. Hexagon gains a best-in-class, SaaS-based asset management solution – Infor EAM – which is used to track assets, digitalise maintenance operations and enable customers in nearly any industry to reach optimum operational efficiency. Completion of the transaction is subject to regulatory approvals and other customary conditions, etc., which are expected to be fully completed during the fourth quarter 2021.
