Absolent Group aquires Jeven Global Oy

Absolent Group AB (publ) has acquired Jeven Global Oy based in Mikkeli, Finland, and with manufacturing in Söderhamn, Sweden. Jeven is a privately held Nordic market leader in commercial kitchen ventilation and had a turnover in 2018 of SEK 126 million. The initial purchase price is SEK 100 million. Further, there is an earn out of maximum SEK 27 million directly linked to the EBIT level for the rest of 2019. The transaction is strategically important among other things as the commercial kitchen ventilation segment holds significant growth and innovation opportunities at the same time as it spreads Absolent’s market exposure across new areas.

Absolent Group aquires Diversitech Inc.

Absolent Group AB (publ) has acquired Diversitech Inc., based in Montreal, Canada. Diversitech is a privately held global frontrunner in the fume extraction market expected to close the fiscal year 2019 in August with a turnover of SEK 140 million. The initial purchase price is SEK 96 million. Further, there is an earn out of maximum SEK 46 million directly linked to the EBITDA level performed over the next twelve months. The transaction is strategically important among other things as the company will serve as Absolent Group’s third growth platform following the existing metal machining and dust bulk handling platforms.

Carlisle Companies acquires Ecco Finishing

Carlisle Companies Incorporated, listed on the New York Stock Exchange, has acquired Ecco Finishing Aktiebolag, a privately held manufacturer of low and high pressure painting equipment and sealing applicators based in Skara, Sweden. Ecco Finishing’s products are used in a variety of application settings primarily in the automotive, ceramics, leather, wood and plastics industries.

Carlisle Companies Incorporated is a diversified, global portfolio of niche brands and businesses that manufactures highly engineered products and solutions and the acquisition of Ecco Finishing fits Carlisle’s strategy of expanding its portfolio of sealants and adhesives application equipment.

Tilgmann Group divests Scandiflex Pac AB

Tilgmann Group has reorganized its operations and divested Scandiflex Pac AB to Schur Flexibles. Scandiflex, founded in 1985, is a designer and manufacturer of packaging solutions, predominantly for the food industry but also within other product areas. The company has its headquarters in Landskrona, Sweden, and its turnover during 2018 amounted to approximately SEK 175 million.

Tilgmann Group, founded almost 150 years ago, is active within the packaging business in the Nordic countries.

Absolent Group acquires SMK Sverige

Absolent Group AB (publ) has through its subsidiary Absolent AB acquired SMK Sverige AB in Skövde, Sweden. SMK is primarily a contract manufacturer of mechanical components with a turnover during 2017 of SEK 43 million. The purchase price amounted to SEK 13 million. Absolent has been the dominant customer for SMK. The transaction is strategically important among other things as it increases Absolent’s capacity and flexibility in its filter unit production.

The AGM season is starting

This years’ general meeting season is beginning in the weeks to follow! Axolot Solutions Holding listed on Nasdaq First North

Axolot Solutions Holding AB (publ) is a Swedish environmental engineering company providing systems for industrial water purification. The company’s patented AxoPur technology makes it possible to instantaneously purify and re-use contaminated water. Axolot Solutions will initially focus on water purification in pulp and paper industries, mining and minerals, refining and chemicals and towards companies with heavily contaminated waters.

Axolot Solutions Holding was listed on Nasdaq First North on 21 November 2018.

HEXPOL acquires 80% of MESGO Group

HEXPOL AB (publ) has acquired 80 percent of the shares in MESGO Group from the main owner Francesco Caldara and co-owners. MESGO Group is an industry leader in high performance elastomers and specializes in conventional rubber compounds and thermoplastics. MESGO Group has an annual sale of around EUR 100 million with around 180 employees in six state-of-the-art facilities in Italy, Poland and Turkey.

The acquisition price amounts to approximately EUR 168 million on a cash and debt free basis. HEXPOL has an option to acquire, and the Caldara family has an option to sell, the remaining shares in MESGO Group.

HEXPOL is a world-leading polymers group with strong global market positions in advanced polymer compounds (Compounding), gaskets for plate heat exchangers (Gaskets) and wheels made of plastic and rubber materials for forklifts and castor wheel applications (Wheels).

Customers are primarily system suppliers to the global automotive and engineering industry, the construction sector, the energy, oil and gas sector, medical equipment manufacturers and OEM manufacturers of plate heat exchangers and forklifts. The Group is organised in two business areas: HEXPOL Compounding and HEXPOL Engineered Products with 43 production units. The HEXPOL Group’s sales in 2017 amounted to around SEK 12 billion. The HEXPOL Group has approximately 4,400 employees in eleven countries. HEXPOL AB is listed on Nasdaq Stockholm Large Cap.
